Introduction & NDA

Begin with a brief introduction call and sign the mutual non-disclosure agreement to access the teaser and further materials.

  • Mutual NDA executed (standard two-page form, Delaware governed)
  • Access teaser deck and Fund I executive summary

DDQ & Data Room

Receive the due-diligence questionnaire and access the secure data room covering fund structure, legal, compliance and the deal pipeline.

  • Due-diligence questionnaire (DDQ) issued
  • Secure data room access granted
  • Fund I term sheet, LPA draft, and side-letter framework
  • KYC-AML pack and investor classification documentation
  • Management team bios, track record and references

LPA & Subscription Docs

Review the Limited Partnership Agreement and subscription documentation with your counsel. Side-letter negotiations finalised at this stage.

  • Final LPA and PPM reviewed with independent counsel
  • Side-letter terms negotiated (co-invest rights, MFN, reporting)
  • Subscription agreement executed
  • Investor representations and warranties confirmed
  • Compliance clearance from GP legal and compliance team

Capital Call

First capital call issued following final closing. Wire instructions provided per the fund's Delaware LP and Cayman feeder banking arrangements.

  • Capital call notice issued (minimum 10 business days)
  • Wire to fund custodian account (USD, correspondent bank)
  • Drawdown confirmation and investor acknowledgement
  • LP capital account established in fund administrator records

Quarterly Reporting

Ongoing reporting throughout the fund life — quarterly NAV statements, annual audited accounts, and deal-level updates.

  • Quarterly investor letters with NAV and portfolio update
  • Annual audited financial statements (US GAAP)
  • Deal-level fact sheets for each invested SPV
  • K-1 / tax reporting (US LPs) via fund administrator
  • Annual LP advisory committee meeting (where applicable)

Documentation checklist · What you will need

Prepare these documents before the DDQ stage to accelerate onboarding. Requirements are driven by the group's US and South African compliance frameworks.

Investor / Entity

  • Certificate of formation / incorporation
  • Beneficial ownership register (25%+ threshold)
  • Executed investment mandate or authority to invest
  • Signed investor representation letter (qualified/accredited)

KYC-AML

  • Passport copies (certified) for all UBOs and signatories
  • Proof of address (< 3 months) for all UBOs
  • Source of funds declaration and supporting evidence
  • PEP and sanctions screening consent
  • FATCA / CRS self-certification form

Subscription

  • Signed subscription agreement
  • Executed LPA signature page
  • Side-letter (if applicable)
  • Accredited / qualified investor certification

Funding

  • Bank reference letter (on letterhead)
  • Wire instruction acknowledgement
  • Anti-money-laundering certificate from sending bank
